Role

NB: The role has been created recently and may evolve depending on both activity and internal resources.

Responsible for our Paris office of the establishment and oversight of all legal documents, mainly those in relation to our projects (customer contracts, confidentiality agreements, non-reliance and reliance letters, disclaimers, supplier contracts, etc.) you are dealing with the administrative part of those documents and also are in regular contact with our customers, their investors (banks, investment funds, etc.) and legal counsels and directly negotiate with them the legal terms of these documents. To do so you can rely on our internal documentation and your own knowledge, all in connection with the General Counsel and the paralegal of the London office and under the supervision of the Paris finance manager. You also ensure that these documents remain up to date and take part of other legal matters related to the day to day life of the company.

This position is fairly exposed as you are working directly for our partners (directors) and are in contact with our customers and their investors/lenders.

You communicate clearly and efficiently on matters that may be complex so that you are understandable by non-legal people.

You are fluent in French and English, both written and spoken (including legal terms).

You are aware with the confidentiality implications of your role.

You are comfortable with the Windows environment and the Office pack.

 

Description of the tasks

 1.       Legal documents on cases                                                                                                

Letters of Engagement                                                                                                     

-        Preparation of LoEs for each new case                                                                        

  • o   Including any specific clause, especially for IPOs, in relation with Gal Counsel
  • o   Obtention of administrative and billing information
  • o   Sending to the relevant partner for completion and approval                                              
  • o   Information of finance team re. billing terms and conditions

-        Follow-up of signatures by clients / Necessary actions to obtain a signed LoE                      

-        Archiving of signed LoEs                                                                                                        

-        Maintenance of a list of LoEs and their status

-        Preparation and follow-up of Customer Amendment Forms when needed                  

Confidentiality Agreements                                                                                                        

-          Preparation of NDA from L.E.K. template                                                                  

-          Review of amendment from third parties and reply                                                      

-          Review of NDAs received from third parties                                                               

-          Archiving of signed NDAs                                                                                           

-          Maintenance of a list of NDAs and their terms (esp. duration)                                    

Disclaimers                                                                                                                        

-          Review of disclaimers before showing to clients                                                                      

Reliance / Non-Reliance letters                                                                                     

-        Preparation of RL/NRL from L.E.K. templates and sending                           

-        Review of amendments from third parties and reply (coordination with Gal Counsel) 

-        Maintenance of a list of Q&As                                                                                    

-        Follow-up of signatures by parties / Necessary actions to obtain signed docs             

-        Archiving of signed RL/NRL                                                                                       

-        Maintenance of a list of RL/NRL incl. status and amendments vs. templates

 2.      Non-case related legal matters                                                                                        

Access Facilitation                                                                                                            

-          Review of access requests to archived case folders, archived emails or PreLink data

Conflicts management                                                                                                     

-          Review of access requests to archives case folder, archives emails or PreLink data

Supplier contracts                                                                                                       

-          Review of terms and conditions

-          Maintenance of a list of contracts, ending dates, termination conditions…

Various                                                                                                                               

-          Intervention/support on various legal matters (HR, property, thresholds crossing, dispute with supplier, etc.)

-          Legal watch

 3.      Cash collection                                                                                                                

Cash collection

-          In cooperation with the Finance team, perform all necessary actions to receive payment of client invoices, eg:

  • o   Send an email to the administrative contact 7-10 days after invoice issuance to check its receipt, approval and good processing (+ payment date if possible) (+Update of the follow-up file) => If no answer to the email, call to the administrative contact
  • o   Send an email to the administrative contact for payment date confirmation between the first contact and 20 days after issuance date (+Update of the follow-up file) => If no answer to the email, call to the administrative contact
  • o   Send an email to the administrative contact within 3 days from the confirmed payment date (or due date) if the payment was not received (+Update of the follow-up file) => If no answer to the email, call to the administrative contact (if no answer escalate to JJT and relevant partners)
